Terms of Sale
For laboratory research use only. Not for human or veterinary use. Not for use in diagnostic or therapeutic procedures. Not for use as a drug, food additive, cosmetic, household chemical or agricultural product.
1. The supplier
These Terms of Sale govern every supply of Products by Dohrna Research Supplies Limited, a company registered in Malta under company number C 116978, with its registered office at 4th Floor Kingsway Palace, Triq ir-Repubblika, Valletta VLT 1115 ("the Supplier", trading as Dohrna). VAT identification number [[VAT_NUMBER]]. EORI [[EORI_NUMBER]].

2. Business-to-business supply only
The Supplier contracts only with buyers acting in the course of a trade, business, craft or profession. The Supplier does not contract with consumers, and no consumer contract arises under these Terms.
An account must reach approved status before any order may be placed. Approval follows a manual examination by a named operator of the Supplier. There is no guest checkout and no self-service first purchase.
3. Buyer warranty
By placing an order the Buyer represents and warrants that: (a) it is acquiring the Products in the course of a trade, business, craft or profession and not as a consumer; (b) the Products will be used solely for in vitro laboratory research; (c) the Products will not be administered to humans or animals, resold to the general public, or incorporated into any product for human or animal use; (d) the person placing the order is at least 18 years of age and is authorised to bind the Buyer; and (e) the Buyer will comply with all applicable medicines, chemicals, health-and-safety, export-control and sanctions laws in its jurisdiction.
A breach of this warranty entitles the Supplier to cancel the order, suspend the account and decline future supply.
4. Conditions of supply
This product is supplied for laboratory research use only, by and for qualified personnel trained in laboratory procedures and familiar with the potential hazards of the material. It is not supplied for human or veterinary use, for pharmaceutical, diagnostic or therapeutic use, or for household, food, cosmetic or agricultural use. It has not been evaluated by any medicines regulator for safety or efficacy in humans or animals.
The Buyer is responsible for determining the suitability of the product for its intended research use, for testing it, and for its safe handling, storage and disposal. Resale or onward transfer is prohibited without prior written permission.
No Product listed by the Supplier holds a marketing authorisation as a medicinal product in any EU/EEA Member State or in the United Kingdom.
5. Orders and acceptance
An order is an offer by the Buyer. A contract is formed only when the Supplier issues a written order confirmation. The Supplier may decline any order, including where a destination is not served for the compound ordered, where a quantity ceiling would be exceeded, or where sanctions screening is inconclusive.
6. Prices, taxes and currency
Prices are stated in US dollars (USD). That is the only currency in which any price on this site is quoted, and it is the currency of the order record. No price is converted at display time: a figure produced from an exchange rate at the moment a page was rendered is not a price anybody agreed.
The price shown next to every add-to-order control is the price of that pack. Carriage is added once per order at the rate published in the delivery policy, and the subtotal, the carriage and the total are shown together before an order is placed.
No sales tax, value added tax or equivalent is currently added to an order placed through the enquiry and ordering route. Where a tax becomes chargeable on a destination — including where the reverse-charge mechanism applies on a VAT identification number validated against the EC VIES service — it will be assessed and disclosed before the order is placed rather than added afterwards.
Import duties, import taxes and customs charges arising in the destination territory are separate from the above and are the Buyer's responsibility. Consignments ship direct from the manufacturer, so on every consignment the Buyer is the importer of record. The delivery policy states this in full.
7. Quantity ceilings
Each compound carries a ceiling on the quantity supplied to one account over a rolling thirty-day period. The ceiling is published on the product page. Where no ceiling has been set for a compound, no order for that compound may be placed.
8. Destinations
Supply is limited to the destinations published on the shipping destinations page and on each product page. The published list operates as an allow-list: destinations not listed are not served. The country selector at checkout is generated from the allow-list for the compound ordered and cannot be altered by the Buyer.
Regulation (EU) 2018/302 Art. 1(5) does not require supply where supply would breach a prohibition in the destination state.
9. Delivery
Delivery is to the address stated on the order — a laboratory, an institution or, within the United States, a residential address. PO boxes are not served, and the delivery address cannot be changed after the order is placed. Every consignment is tracked, and consignments above the value threshold stated in the delivery policy are signed for on receipt. Delivery terms are set out in the delivery policy.
10. Documentation
Each consignment is accompanied by a batch-specific Certificate of Analysis whose lot number matches the vial label, a Safety Data Sheet in an official language of the destination Member State, a commercial invoice and a packing list. The research-use statement appears on the outer packaging, the Certificate of Analysis, the Safety Data Sheet, the packing slip and the invoice.
11. Returns, refunds and cancellation
The refunds and returns policy and the cancellation policy form part of these Terms. The refunds and returns policy is presented in full at checkout and must be acknowledged before an order is confirmed.
12. Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited.
Subject to the foregoing, the Supplier's aggregate liability arising out of or in connection with a contract is limited to the price paid for the Products giving rise to the claim. The Supplier is not liable for loss of profit, loss of business, loss of anticipated savings or any indirect or consequential loss.
The Products are supplied for research use. The Buyer accepts that a substance whose properties are under investigation carries hazards that may not be fully characterised, and assumes responsibility for risk assessment in its own facility.
13. Data protection
Personal data is processed as described in the privacy policy. The controller is Dohrna Research Supplies Limited. Data protection enquiries: dpo@dohrna.com.
14. Product safety
Product safety enquiries and incident notifications: safety@dohrna.com. The Supplier operates the complaints procedure published on this site and retains traceability records for 10 years from the date a Product is placed on the market.
15. Dispute resolution
Alternative dispute resolution information is published separately. Complaints should first be raised through the complaints procedure.
16. Governing law
These Terms are governed by the law of Malta. The courts of Malta have exclusive jurisdiction, save that the Supplier may seek injunctive relief in any competent jurisdiction.
17. Acknowledgement and record
Acceptance of these Terms is recorded at checkout with a timestamp, the originating IP address, the user agent string and the version identifier of the Terms as accepted. The version identifier appears at the head of this document.
